Please read these terms carefully before using our agricultural marketplace platform.
1. Introduction
Welcome to Farmvest ("Farmvest," "we," "us," or "our"). We provide an online platform that connects individuals and entities ("Sponsors," "you," "your") with agricultural projects in Nigeria for the purpose of sponsoring them in exchange for a potential return on sponsorship.
These Terms of Service ("Terms") govern your access to and use of our website, www.farmvest.ng (the "Site"), and all related services, content, and functionality offered by Farmvest (collectively, the "Services").
2. Acceptance and Modification of Terms
By creating an account, sponsoring a farm, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Disclaimer, which are incorporated herein by reference.
Farmvest reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Site and updating the "Effective Date." Your continued use of the Services after any such change constitutes your acceptance of the new Terms.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age and have the legal capacity to enter into a binding contract.
- Provide accurate, current, and complete information during the registration process.
- Comply with all applicable Nigerian laws and regulations.
By using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements.
4. Description of Services
Farmvest operates a platform that allows Sponsors to fund specific agricultural cycles for various crops or livestock ("Farm Cycles"). In return for your sponsorship, you are entitled to a pre-agreed percentage return upon the successful completion and sale of the produce from the sponsored Farm Cycle.
Key aspects of the Service:
- Sponsorship, Not Investment: You acknowledge that your funding is a sponsorship of a specific agricultural project and not a formal investment in a security, nor does it constitute a partnership, joint venture, or employment relationship between you and Farmvest or the farm owner.
- No Guarantee of Returns: While Farmvest and our partner farms work diligently to ensure the success of each Farm Cycle, agriculture is subject to inherent risks including, but not limited to, weather, pests, disease, and market volatility. Therefore, all projected returns are estimates and are not guaranteed.
- Insurance: To mitigate risks, Farmvest ensures that all sponsored Farm Cycles are covered by a reputable agricultural insurance provider in Nigeria. In the event of a loss covered by the insurance policy, any payout will be distributed to Sponsors on a pro-rata basis after deducting administrative costs. The terms of the insurance policy will be made available upon request.
5. User Accounts
- Registration: To access certain features, you must register for an account. You agree to provide accurate, complete information and to keep this information up-to-date.
- Security: You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify Farmvest immediately of any unauthorized use of your account.
- One Account per User: Each user is permitted to have only one account.
6. Sponsorship and Payment
- Making a Sponsorship: Sponsorships can be made through the payment methods available on our Site. By confirming your sponsorship, you authorize us or our third-party payment processors to charge your selected payment method.
- Payouts: Returns from a successful Farm Cycle will be paid into your Farmvest wallet or designated bank account within a specified period after the sale of the harvest, as detailed in the specific Farm Cycle agreement.
- Fees: Farmvest may charge a service fee, which will be clearly disclosed to you before you complete a sponsorship transaction.
7. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of Farmvest or its licensors and is protected by Nigerian and international copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any content from the Site without our express written permission.
8. Prohibited Conduct
You agree not to:
- Use the Services for any illegal or fraudulent purpose.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use any automated system (bots, spiders, etc.) to access the Site.
- Interfere with or disrupt the integrity or performance of the Services.
- Attempt to gain unauthorized access to our systems or data.
9. Termination
We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria. The arbitration shall take place in Lagos, Nigeria, and the language of the arbitration shall be English.
